Welcome to Heyno Inc. (the “Company” or “Heyno”), a company under the laws of the United States of America. These Terms and Conditions ("Terms") outline the rules and regulations for the use of Heyno’s services. Using Heyno Services means that you accept all of the terms and conditions contained in this Agreement and the Privacy Statement. You should read all of these terms carefully. Heyno means Heyno Inc. In this Term & Conditions, Heyno is sometimes referred to as “we,” “us,” or “our,” depending on the context.

We may amend this Agreement at any time by posting a revised version on our website. The revised version will be effective at the time we post it. All future changes set out in the Policy Update already published on the “Legal Agreements” page of Heyno website at the time you register for Heyno Services are incorporated by reference into this Agreement and will take effect as specified in that Policy Update.

1. Acceptance of Terms

By accessing or using Heyno's Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services. Your access to and use of the Services are conditioned on your acceptance of and compliance with these Terms.

2. Eligibility

You must be at least 13 years old to use the Services. If you are between 13 and 18 (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian. By using the Services, you represent that you meet these requirements and have the legal capacity to enter into this agreement.

3. Description of Services

Heyno offers a comprehensive suite of fraud and scam detection services aimed at safeguarding individuals and businesses from various forms of fraudulent activities and scams. Our Services encompass:

• Calls monitoring and analysis.

• Suspicious activity detection and alerts.

• Scam identification and prevention strategies.

4. Subscription Terms

Subscription Plans

Heyno offers auto-renewable monthly subscriptions to access premium features ("Heyno Business Pro"). Current pricing is displayed in the app at the point of purchase.

Payment

Payment will be charged to your Apple ID account at confirmation of purchase.

Auto-Renewal

Your subscription automatically renews for the same period unless you cancel at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the then-current price.

Cancellation

You can manage and cancel your subscription at any time by going to your Apple ID account settings on your device. Cancellation takes effect at the end of the current billing period.

Refunds

All purchases are processed by Apple. Refund requests must be submitted to Apple directly through reportaproblem.apple.com. Heyno does not issue refunds directly.

Price Changes

We may change subscription prices. Price changes take effect at the start of the next subscription period and require your consent if material, in accordance with Apple's policies.

5. User Conduct

You agree to use Heyno's Services in compliance with all applicable laws, regulations, and industry standards. Prohibited activities include, but are not limited to:

• Engaging in fraudulent transactions or scams.

• Knowingly providing false information or misrepresenting your identity.

• Attempting unauthorized access to Heyno's systems or data.

• Disseminating malware, viruses, or other harmful content.

6. User-Generated Content

You retain ownership of content you submit through the Services (including messages, call recordings, emails, and documents). By submitting content, you grant Heyno a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely to provide and improve the Services. You are solely responsible for content you submit and represent that you have all rights necessary to grant this license.

7. Intellectual Property

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by Heyno or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes, subject to these Terms. All rights not expressly granted are reserved.

8. Data Privacy

Heyno values your privacy and is committed to protecting your personal information. Our Privacy Policy outlines how we collect, use, disclose, and protect your data. By using our Services, you consent to the collection, processing, and storage of your personal data in accordance with our Privacy Policy.

9. Limitation of Liability

In no event shall HeyNo, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our Services. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if HeyNo has been advised of the possibility of such damages.

Furthermore, Heyno shall not be liable for any damages or losses arising from:

• The use or inability to use our Services.

• Any unauthorized access to or alteration of your transmissions or data.

• Statements or conduct of any third party using our Services.

• Any other matter relating to our Services.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, the liability of Heyno shall be limited to the maximum extent permitted by law.

Heyno's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to Heyno for the Services during the twelve (12) month period prior to the event giving rise to the claim.

This limitation of liability shall apply regardless of the legal theory under which such damages are sought, whether in contract, tort (including negligence), strict liability, or otherwise, even if Heyno has been advised of the possibility of such damages.

By using Heyno's Services, you acknowledge and agree that Heyno's liability is limited in accordance with these terms, and you hereby release Heyno from any and all claims or liabilities arising from your use of the Services.

10. Warranty and Accuracy

Heyno warrants that it will perform the services with reasonable care and skill. However, due to the inherent uncertainties of fraud and scam detection, Heyno cannot guarantee the accuracy or completeness of its Services. While we strive to provide accurate and reliable detection, users understand and acknowledge that no system can detect all instances of fraud or scams. Therefore, Heyno's Services are provided "as is," without any warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Additionally, Heyno makes reasonable efforts to ensure the availability and uptime of its Services. However, Heyno shall not be responsible for any disruptions, delays, or unavailability of the Services due to factors beyond its control, including but not limited to:

• Internet or telecommunications failures.

• Power outages.

• Acts of nature.

• Force major events.

• Cyberattacks or security breaches.

Heyno will endeavor to promptly address and resolve any issues impacting the availability or performance of its Services to the extent reasonably possible. Users acknowledge and agree that Heyno shall not be liable for any damages or losses arising from the unavailability or interruption of its Services due to factors beyond its reasonable control.

11. Indemnification

You agree to indemnify and hold harmless Heyno, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with your use of our Services or violation of these Terms.

12. Changes to Terms

Heyno reserves the right to modify or amend these Terms at any time. Any changes to these Terms will be effective immediately upon posting on our website. Your continued use of our Services after the posting of changes constitutes your acceptance of such changes.

13. Termination

Heyno may terminate or suspend your access to our Services at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use our Services will cease immediately.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Apple-Specific Terms

You acknowledge that these Terms are between you and Heyno, not with Apple Inc. Apple is not responsible for the Services or their content. Apple has no obligation to provide maintenance or support for the Services. Apple is a third-party beneficiary of these Terms and may enforce them against you. In the event of any failure of the Services to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price; Apple will have no other warranty obligation with respect to the Services.
